LucasArts warrants to the original consumer purchaser only that the madia fumiBhed in ths Software wil be free Irom delects in materials and workmanship under normal use lor a penod of ninety 1901 days from the date ol purchase las evidenced by your receipt! II the media furnished m ths Software proves to ba detective, and provded that the orignal consnner purchaser returns the media to LucasArts <n accordance with the instructions m this paragraph. LucasArts will replace the defective media: lal free of charge to the onginal consumer purchaser. California, and you waive any claim that such forum is inconvenient Any such claim or controversy shall be arbitrated solely on an individual basis and shall not be consolidated with a daim of eny other party. The arbitrator may not change the terms of this Agreement. The arbitrator may awird injunctive or other equitable relief to enforce the terms hereof; provided, however, that no injunctive or equitable relief may be awarded that would enjoin or impair LucasArts' rights or ability to distribute or otherwise merket, advertise. promote or exploit the Software. If it is judicially determined that any claim or controversy arising out ol or related to this Agreement or the Software cannot be settled by expedited binding arbitration as noted above, then you egree that any such claims or controversies shall be brought and maintained in the state couts Iccated withm the County of Mann. State of California or the federal cotrts of the Northern District of California, and you wave any claim that either such forum is inconvenient. The foregoing shall not preclude LucasArts from seeking any inactive or other relief for protection of LucasArts' intellectual property rights or 'similar ngtxs m any court of competent jurisdiction Because LucasArts would be irreparably damaged il the
M iyp terms cl this Agreement were not specially enforced, you agree that LucasArts shell be entitled, without bond, other secjrity or proof ol damages, to approprate equitable remedies w.th respect to breaches ol this Agreement, in addition to such ether reradies as LucasArts may otherwise haie under applicable laws. The prevailing party In any actum to enforce this Agreement shall be entitled to recover costs and expenses including, without limitation, reasonable attorney's fees. LucesArts shall have the riglx. but not the obligation, to defend or settle, at its option, any action or proceeding arising from a claim that your permitted use of the Software infringes or misappropriates any patent, copyright, or other ownership of a third party. You agree to provide LucasArts with written notice of any such c!a;m withn ten (101 business days of your first knowledge thereof and to provide reasonable essistance in the defense of such claim. LucasArts shall have sole discretion and control over the defense or satdement of such daim. unless it declines to defend or settle such claim, in which case you are Iree to pursue such course of action as you reasonably determine. LucasArts is under no obligation hereunder to indemnify or hold you harmless with respect to any actions, proceedigs or claims. In the event of such a daim, or if LucasArts believes such e claim is likely, LucesArts mey: III procure for you the right to continue using the Software: liil modify the Software so thot it becomes non-infringing; or, liiil terminate ths Agreement. You agree to comply with eny court judjnent or other conditions imposed on you or LucasArts as a result of an allegation of patent or copyright infringement [whether by cart order, agreement or otherwisel. whether x not such ludgment or conditions contradict the conditions ol this Agreement, hefuding without limitation, ceesing use of the Software.
If any provision of this Agreement is held to be invalid or unenforceable, such provision sha I be struck end the validity and enforceability of the remainder of this Agreement shBll in no way be affected or mpeired thereby end such provision shell be enforced to the maximum extent possible so as to effect the intent of tie parties end shell be reformed without further action by the parties to the extent necessary to meke such provision veld and enforceabie. LucasArts' failure to act with respect to a breach by you or others does not waive LucesArts' rght to ect with respect to subsequent or similar breaches, nor will any single or partial e>ercise of eny right iiereinder preclude further exercise of any other right hereunder. This Agreement sets forth the entire urderstanding and agreement between you and LucesArts with respect to the subject matte* hereof. Except as provided herein, ths Agreement may not be amended except In a writing signed by both parties; provided, however, that LucasArts has the right, wthout notice eni'or withox a wribng signed by both perties, to amend this Agreement m connection with any modifications dt updates to tr« Software.

You may terminate this license by disposing of the Soforare Without preiudice to any other nghts ol LucesArts, this Agreemer.t will terminate automatically if you fail to comply with its terms and concitions In such event, you must destroy all copies of thB Software ard ail its component parts. Voir disposal or destruction of the Software end any component parts must be done In accordance Kith appliceble law.
